HeroClass Terms of Service — working draft
Public working draft — updated October 11, 2026. This draft is available for review and is not yet the effective agreement. Bracketed items identify details still to be finalized, including the companion Privacy Policy.
Effective date: [date]
1. Who we are and agreement
HeroClass is operated by Andrew Watts, doing business as HeroClass, at 1390 Deerwood Trail, Oakville, Ontario L6M 2G4, Canada (“HeroClass,” “we,” “us”). These Terms govern the website at heroclass.ca and its classroom gamification service, including teacher tools, student accounts, games, quests, teams, powers, and classroom economy features (the “Service”). Contact: heroclassstudio@gmail.com.
By expressly accepting these Terms when registering or purchasing, you agree to them. If you do not agree, do not create an account or purchase access. An individual accepting on behalf of a school or other organization must have authority to bind it; being a teacher does not by itself establish that authority. A separately signed school agreement controls to the extent it conflicts with these Terms.
2. Teachers, schools, and students
Teacher accounts and purchases are for adults who have reached the age of majority in their jurisdiction. Students may participate only through an appropriately authorized and supervised classroom.
Students are not purchasers and do not assume adult payment obligations or liability under these Terms. Teachers and schools must follow institutional approval requirements and applicable local rules before introducing HeroClass. HeroClass remains responsible for its own legal obligations. The Privacy Policy draft explains student information, child-consent considerations, and school authorization in more detail.
3. Accounts and classroom access
Provide accurate account information, protect your credentials and classroom invitation codes, and notify us promptly of suspected unauthorized access. Use only accounts and classrooms you are authorized to access. Teachers must manage classroom membership and access appropriately and avoid publicly sharing student information or classroom codes. We may require verification of account ownership or school authorization.
4. Permitted use
We grant authorized users a limited, non-exclusive, non-transferable right to use the Service for its intended educational purposes while access is active. You must not break the law, infringe others’ rights, harass or exploit others, upload unlawful content, impersonate another person, access another classroom without permission, disrupt the Service, bypass access or payment controls, introduce malicious code, or resell access without our written permission. Any restriction applies only to the extent permitted by law.
5. Classroom decisions and virtual items
Teachers and schools are responsible for how they configure and use classroom rewards, powers, activities, and consequences. They should use the Service fairly, appropriately for students’ ages and needs, and consistently with school policies. HeroClass does not make official grading, disciplinary, placement, or safeguarding decisions and is not an emergency reporting service.
XP, gold, crystals, virtual balances, and other game items are classroom game mechanics. They are not real money, deposits, securities, or investments, carry no cash redemption right against HeroClass, and may not be sold or exchanged for real money through the Service. Any classroom privilege or reward offered by a teacher is subject to that teacher’s and school’s rules. Game balances and rules may be corrected or adjusted to address errors or maintain gameplay.
6. Plans, trials, and payments
The current monthly teacher subscription is CAD $8 per month. Any applicable sales taxes will be disclosed before payment. The plan, price, currency, taxes, billing interval, included access, trial conditions, and any automatic renewal will be disclosed before purchase. The order confirmation forms part of your purchase agreement. Do not subscribe unless you are authorized to make the purchase.
New subscriptions begin with a 30-day free trial. Unless you cancel before the trial ends, paid billing begins when the trial ends at the rate and interval disclosed at checkout. You may cancel at any time to stop future subscription charges. [Confirm the exact cancellation route, whether a payment method is required for the trial, access after cancellation, failed-payment handling, account deletion versus billing cancellation, and whether the advertised annual plan remains offered.]
Payments are processed through [confirm Stripe and applicable payment arrangements]. If you expressly choose an automatically renewing subscription, it renews at the disclosed interval until cancelled using [verified cancellation route]. Cancellation stops future renewals. After cancellation, access continues until the end of the current paid billing period. Ordinary cancellation does not refund an already-paid period merely because you change your mind. Our Cancellation and Refund Policy forms part of these Terms and explains billing-error refunds, service-discontinuation refunds, and applicable statutory rights, including those in Ontario, the European Union, and Australia. Mandatory rights always prevail. Uninstalling a shortcut or ceasing to use the website does not itself cancel a subscription.
We will provide advance notice of changes to renewal prices and obtain any consent required by law. Changes will not alter the price of an already paid period. If we discontinue a prepaid service, we will provide [confirmed notice and appropriate refund arrangements], subject to applicable law.
7. Your content and privacy
You retain any ownership rights you have in materials you provide to the Service and must have the rights and lawful authority needed to provide them. These Terms do not confer ownership of student personal information on a teacher or HeroClass.
You grant us limited permission to host, store, reproduce, transmit, and display submitted materials only as needed to operate and support the features you use, protect the Service, and comply with law. This permission does not authorize public promotion of student content, advertising use of student information, or unrelated AI model training.
Our Privacy Policy draft explains collection, use, sharing, providers, international processing, cookies, retention, deletion, safeguards, and privacy rights. Accepting these Terms does not replace legally required privacy notices, consent, or other lawful authorization.
8. Third-party integrations
Third-party services that you independently choose to connect may have their own terms. You must have authority to connect the account or service. Providers used by HeroClass and their personal-information handling are described in the Privacy Policy draft. We remain responsible for our obligations under applicable law and our agreements.
9. HeroClass materials
HeroClass software, branding, artwork, stories, and other Service materials are owned by us or our licensors, excluding user-provided materials. Access grants only the rights needed for permitted classroom use. Do not redistribute or commercially exploit our materials without permission or another lawful basis. Nothing restricts rights that applicable law does not allow us to restrict.
10. Availability and warranties
We work to maintain the Service, but do not promise uninterrupted access, error-free operation, or a particular learning or engagement outcome. Teachers should check information before relying on it and keep an appropriate alternative for essential classroom activities. Except for express commitments in a separate agreement and rights that cannot lawfully be excluded, the Service is provided “as is” and “as available,” to the extent permitted by law.
11. Liability
To the extent permitted by applicable law, we are not liable for indirect or consequential losses, including lost profits, arising from use of the Service. Subject to the exceptions below, our total liability arising from the Service is limited to the greater of the fees paid by the claimant for the Service during the twelve months before the event giving rise to the claim or CAD $100.
These limitations do not apply to fraud, wilful misconduct, gross negligence, liability that cannot lawfully be excluded or limited, or any liability expressly excluded from this cap in a signed school agreement. Nothing limits non-waivable consumer or privacy rights. [Counsel must assess the cap, exclusions, student-data exposure, insurance, and applicable jurisdiction before publication.]
12. Suspension and termination
You may stop using the Service and request account closure through [verified process]. Subscription cancellation and access through the paid period are described in Section 6.
We may restrict or suspend access when reasonably necessary to address a material breach, unlawful use, a security threat, or a legal requirement. When practicable, we will explain the reason and allow a reasonable opportunity to address the issue. Contact heroclassstudio@gmail.com to seek review of an account restriction.
Classroom records are not kept indefinitely. Save any records you need before their scheduled deletion. The Privacy Policy draft, Section 8, contains the retention and cancellation-deletion policy, including the requirement for returning users to resubscribe and start fresh.
Ownership, accrued payment obligations, and provisions that reasonably need to continue survive termination, subject to applicable law.
13. Changes
We may update these Terms as the Service or legal requirements change. We will publish the revised version and its effective date and provide reasonable advance notice of material changes, except where urgent legal or security circumstances require a shorter period. We will obtain renewed acceptance where required by law. Changes do not retrospectively remove accrued rights. Changes to personal-information handling are addressed in the Privacy Policy.
14. Law and disputes
These Terms are governed by the laws of Ontario and the applicable federal laws of Canada. Subject to mandatory local law and non-waivable rights, disputes may be brought before the competent courts of Ontario, Canada. Contact heroclassstudio@gmail.com so we can try to resolve a concern; this does not impose a waiting period or restrict access to courts, regulators, or statutory remedies. These Terms contain no mandatory arbitration or class-action waiver.
If a provision cannot be enforced, the remaining provisions continue to apply to the extent permitted by law. These Terms, the purchase confirmation, and any applicable signed school agreement constitute the agreement concerning Service access, without excluding mandatory rights or legally binding representations.
